11/11 17:30 EBA EuroDebates on Joint Stock Companies Law The European Business Association in conjunction with Law Group Pavlenko & Poberezhnyuk organised the EuroDebates focusing on the newly adopted Law on Joint Stock Companies that took place on 11 November 2008, at 17:30-19:00, at the Conference Hall of Opera Hotel.
This time the EuroDebates hosted representatives of the State Commission of Ukraine on Securities and Stock Market, judges of the Supreme Economic Court of Ukraine, President of the Institute of Stock Market Development, highly-qualified lawyers etc.
The list of key guest speakers included
Ukrainian and foreign businesses, lawyers and law authors convened to discuss the concept and provisions of the Ukrainian Law on Joint Companies for the first time ever since it was signed. The EuroDebates enabled law developers and lawyers to clarify ambiguous standards of the Law and outlined methods for overcoming obstacles for business incurred by the Law implementation to take effect in April 2009.
The guest speakers agreed that the legal-based Law has an economic background to envisage many standards related to the most urgent economic issues.
The EuroDebates attendees got all their questions answered directly by the State Commission on Securities and Stock Market - the premier state body dealing with Stock Market, Securities and Joint Stock Companies - that developed the Law endorsed by the Parliament. Therefore the State Commission on Securities and Stock Market will be in charge of the Law implementation and amendment, when necessary.
The participants showed their deep concerns as to whether the Law on Joint Stock Companies will protect rights of minority and majority shareholders. Yet the attendees and speakers agreed that the Law main purpose was to establish a balance for protecting rights for both Parties.
Also the participants asked if the Law, when introduced, will help combat raidering problems, though partially. In reply to this question, the speakers emphasised that the Law does not aim to fight off illegal raidering but strives to regulate activities of joint stock companies.
